Distance Sales Agreement

1. Parties
SELLER: [Şirket Unvanı] (“tingdea”), address: Atatürk Mah. Ataşehir Bulvarı No: 5, Ataşehir / İstanbul, MERSIS: [MERSİS No], tax office/no: [Vergi Dairesi / No], email: hi@tingdea.com, legal correspondence: contact@tingdea.com.
BUYER: the individual or legal entity placing an order on tingdea.com whose name, contact and billing details appear on the order form.
The email address provided by the Buyer at checkout is deemed the valid address for all notices under this agreement.
2. Definitions
Service: digital services provided by tingdea, including website builds, software, bots and automation, SEO, ad management, brand identity, video/animation, Wikipedia and reputation management.
Package: a bundle of services whose scope, duration and price are stated in the order summary (e.g. the Launch Package).
Order summary: the screen and confirmation email shown before payment, listing the scope and total price.
3. Subject
This agreement governs the rights and obligations of the parties regarding services ordered on tingdea.com, under Turkish Consumer Protection Law No. 6502, the Distance Contracts Regulation and E-Commerce Law No. 6563.
Where the Buyer is a business, consumer-specific provisions do not apply; the Turkish Commercial Code No. 6102 and Code of Obligations No. 6098 govern instead.
4. Service details, price and payment
The key features, scope, revision allowance, delivery time and total price (taxes included) are shown in the order summary and the Preliminary Information Form.
Discount codes (e.g. the launch discount) are valid only within the stated period and quota, have no cash value and cannot be combined with other offers.
Payments are processed through a PCI-DSS compliant payment provider. Card details are never stored on tingdea servers.
Domain, hosting, SSL, paid plugins, ad budgets and third-party licences are not included unless explicitly listed in the package.
International clients may be invoiced through our London or Delaware office; currency conversion uses the rate at the time of payment.
5. Formation of the contract
The contract is formed when the Buyer electronically approves the Preliminary Information Form and this agreement and completes payment.
An order confirmation and a copy of this agreement are emailed to the Buyer. Copies can also be requested at contact@tingdea.com.
6. Seller obligations
Deliver the service within the scope, quality and timeline set out in the order summary.
Keep the Buyer informed throughout the project and obtain approval at the end of each stage.
Keep any information, credentials and documents shared by the Buyer confidential and use them solely to provide the service.
7. Buyer obligations
Provide required materials such as logos, copy, images, product data and access details completely and on time.
Warrant that supplied materials do not infringe third-party intellectual property, personality or trademark rights; any resulting liability rests with the Buyer.
Give stage approvals within a reasonable time (no later than 5 business days); stages not responded to within this period are deemed approved.
8. Intellectual property
Upon full payment, usage rights to designs and content created specifically for the Buyer are transferred to the Buyer.
tingdea retains rights to its general-purpose code libraries, templates and tools; the Buyer receives a perpetual licence to use them within the delivered work.
Unless agreed otherwise in writing, tingdea may display completed work in its portfolio.
9. Right of withdrawal
The use, period, exceptions and refund procedure of the right of withdrawal are detailed on the Cancellation & Refund page.
10. Force majeure
Obligations are suspended during events beyond the parties' control, such as natural disasters, pandemics, war, cyber attacks, infrastructure or power outages and acts of authorities. If such an event lasts more than 60 days, either party may terminate.
11. Limitation of liability
tingdea does not guarantee specific search rankings, ad results or decisions of third-party platforms (Google, Meta, Wikipedia, etc.); it acts on a best-efforts basis.
Subject to mandatory law, tingdea's total liability is limited to the price of the relevant order.
12. Dispute resolution
For consumer disputes, Consumer Arbitration Committees at the Buyer's residence or place of transaction are competent within the monetary limits announced annually by the Ministry of Trade; Consumer Courts are competent above those limits.
For business-to-business disputes, the Courts and Enforcement Offices of Istanbul (Anatolia) are competent.

13. Entry into force
This agreement consists of 13 articles and enters into force upon the Buyer's electronic approval. Electronic records constitute conclusive evidence under Article 193 of the Code of Civil Procedure No. 6100.
